保函不同于其他常規(guī)險(xiǎn)種，它提供的是一個(gè)涉及三方的風(fēng)險(xiǎn)轉(zhuǎn)移機(jī)制。言以蔽之，保函是一種由

擔(dān)保人向債權(quán)人（顧客或業(yè)主）為債務(wù)人（承包商）擔(dān)保的三方合約, 類似于銀行擔(dān)保。 對(duì)一些新的

業(yè)務(wù)來說，作為擔(dān)保的一方，首先要為承包商建立保函授信額度，因此必須對(duì)承包商的資信進(jìn)行

審核/盡職調(diào)查(Due Diligence)。

一．Financial and Technical Solidity

1. Company Introduction, including organization chart.

貴公司之母公司（或貴公司）的營(yíng)業(yè)執(zhí)照、組織機(jī)構(gòu)代碼證、稅務(wù)登記證復(fù)印件，公司介紹及公

司產(chǎn)權(quán)結(jié)構(gòu)。

2. Three years of audited consolidated Financial Statements, along with auditor’s notes,

from the ultimate parent company, highlighting the company activities, statement of

strategy and outlook.

貴公司之母公司（或貴公司）過去連續(xù)三年的、經(jīng)過審計(jì)的年度財(cái)務(wù)報(bào)告及附注。

3. History/background: highlighting your construction/contracting experience and activity

by stating largest contracts performed for the past three years with breakdown on

contract value, duration, nature of project and location.

貴公司之母公司（或貴公司）近三年已完工的主要項(xiàng)目，請(qǐng)注明項(xiàng)目名稱、性質(zhì)、地點(diǎn)、金額、

業(yè)主、起始和終止的日期。

4. Current Work-on-Hand report.

5. Banking facilities: details in respect of current banking relationships and related facilities,

provided with % of utilization and any covenants etc.

銀行往來情況：銀行提供的授信額度、已使用的額度及其他信用情況。

6. The willingness to sign our general Corporate Indemnity Agreement.
